RAK ICC Offshore Company Formation

RAK ICC is where most UAE offshore holding companies actually sit. It is simpler than JAFZA and cheaper to maintain, and it still gives you no visa whatsoever.

What is a RAK ICC offshore company?

RAK International Corporate Centre is the Ras Al Khaimah offshore registry. Companies registered there are non-resident holding vehicles used for owning shares, assets and intellectual property. They carry no residence visas and cannot trade within the UAE market.

What is it typically used for?

Holding shares in operating companies, owning intellectual property, and consolidating ownership across jurisdictions in a single vehicle. Groups use it as a clean holding layer above trading entities.

It is a structuring tool. Whether it is the right one for you is a question for your tax adviser in the country where you are resident, not for a company formation agent.

  • Intellectual property ownership
  • Consolidating cross-border ownership

How does it differ from JAFZA offshore?

Mainly in cost, administrative simplicity and the property question. RAK ICC is generally lighter to establish and maintain; JAFZA offshore is the one that can hold Dubai property in approved areas.

If property is not part of the plan, RAK ICC is usually the more sensible default.

  • Generally lighter and cheaper to maintain
  • Does not hold Dubai property
  • JAFZA is the property route
  • Both carry no visas

What are the ongoing obligations?

A registered agent must be maintained, records kept, and the company renewed annually. Substance and economic activity requirements have tightened internationally, and the compliance environment for offshore structures is not what it was a decade ago.

A company nobody maintains becomes a liability rather than an asset.

  • Registered agent maintained continuously
  • Annual renewal required
  • Records kept properly
  • Compliance expectations have risen internationally

What about banking?

Harder than for an onshore company, and harder than it used to be. Banks apply significant scrutiny to offshore structures, and an account is not a given.

Anyone promising an offshore company with a guaranteed bank account is describing a market that no longer exists.

  • Significant bank scrutiny of offshore structures
  • An account is not guaranteed
  • Substance and purpose have to be explicable
  • Plan banking before forming, not after

The mistake we see most: Forming an offshore company on the strength of a tax argument nobody checked in the country where the owner actually lives. The UAE side is simple; the reporting consequences at home are where the real risk sits. Get advice where you are resident first.
MSM tip: Decide who will maintain the company before you form it. Offshore structures fail quietly — a missed renewal, a lapsed registered agent — and reviving one is more expensive and more awkward than keeping it current.

What documents do you need?

What we need

Passport copies for all shareholders and directors
Proof of residential address for each
Attested corporate documents, for a corporate shareholder
A clear statement of the company purpose
Details of what the company will hold
Your country of tax residence

The question we will ask that others may not is what your adviser at home has said. An offshore structure that creates a reporting problem where you live is not a saving.

QUESTIONS & ANSWERS

Frequently Asked Questions

Does RAK ICC give me a visa?
No. Offshore companies carry no residence visas. If you need one, form a free zone or mainland company instead.
Can a RAK ICC company hold Dubai property?
Generally no. That is the feature JAFZA offshore has, and it is the main reason to choose JAFZA over RAK ICC.
Is it cheaper than JAFZA?
Generally lighter to establish and maintain. Choose on purpose first, though; the wrong registry cheaply is not a saving.
Can it open a bank account?
It is harder than for an onshore company and not guaranteed. Plan banking before forming rather than after.
What are the annual obligations?
A registered agent maintained, records kept and annual renewal. A lapsed company is expensive to revive.
Is offshore still worth doing?
For genuine holding and structuring purposes, often yes. As a tax shortcut, the international environment has changed considerably. Take advice where you live.
