JAFZA Offshore Company Formation

An offshore company is not a cheap free zone company. It carries no visas and cannot trade in the UAE, and anyone selling it as a shortcut to residence is misleading you.

What is a JAFZA offshore company used for?

It is a non-resident holding vehicle registered under the Jebel Ali Free Zone offshore regime. It is used to hold assets, shares in other companies and, distinctively, Dubai property in approved areas. It carries no residence visas and cannot trade within the UAE market.

What is it actually for?

Holding things. Shares in other companies, intellectual property, and most distinctively real estate in Dubai, which is the feature that makes JAFZA offshore different from other offshore registries.

Families and investors use it to hold property under a company rather than personally, which can simplify succession and ownership arrangements. That is a legal and tax question worth proper advice.

  • Holding shares in other companies
  • Holding Dubai property in approved areas
  • Asset and intellectual property holding
  • Succession and ownership structuring

What can it not do?

Trade in the UAE, employ people here, or sponsor a residence visa. It has no premises and no establishment card, so the entire visa apparatus does not apply to it.

If anyone has told you an offshore company gets you a visa, they are either confused or selling you something under a false description.

  • No residence visas at all
  • No trading within the UAE market
  • No employees or establishment card
  • No physical premises in the UAE

How does it compare with RAK ICC?

Both are UAE offshore registries and both work well as holding vehicles. The practical differentiator is Dubai property: JAFZA offshore is the route where holding Dubai real estate through the company is the point.

Where property is not involved, RAK ICC is often the more straightforward and economical registry.

  • JAFZA offshore for holding Dubai property
  • RAK ICC often simpler where property is not involved
  • Both are holding vehicles without visas
  • Choose on purpose rather than on price alone

What does formation involve?

Shareholder and director documentation, a registered agent, and a clear statement of purpose. Where a corporate shareholder is involved, its documents need attestation from its home jurisdiction, which is the long lead item.

Banking for offshore companies is genuinely harder than for onshore entities and should be planned rather than assumed.

  • Shareholder and director documents
  • A registered agent is required
  • Attestation for corporate shareholders
  • Banking is harder; plan it early

  3. Document preparationShareholder and director papers, attestation flagged early.
  4. RegistrationFiled through a registered agent.

Offshore or something else?

By what you actually need
You needStructure
To hold Dubai property in a companyJAFZA offshore
To hold shares or assets generallyJAFZA or RAK ICC
A residence visaFree zone or mainland company
To trade with UAE customersMainland LLC
To trade internationally with visasFree zone company
The mistake we see most: Buying an offshore company believing it comes with a visa, usually because a broker was vague about the difference. It does not, it never has, and the money spent does not convert into a free zone licence. Establish what you need before you buy a structure.
MSM tip: If holding Dubai property through a company is the objective, take tax and legal advice in your home country first. The UAE side is straightforward; the consequences where you are resident are the part that actually matters.

What documents do you need?

What we need

Passport copies for all shareholders and directors
Proof of residential address for each
Attested corporate documents, for a corporate shareholder
A clear statement of the company purpose
Details of assets to be held, where relevant
Your own country of tax residence

The item with the longest lead time is attestation of corporate shareholder documents from another country. If a company is going to be a shareholder, start that first.
