Offshore Holding Company in the UAE

An offshore company here is a holding vehicle, not a business you can trade through. Half the people who ask for one want something else entirely.

What is a UAE offshore holding company used for?

Holding things rather than doing things: shares in other companies, intellectual property, and in some cases property, depending on the jurisdiction. It is not a trading licence, it does not give you an office, and it does not by itself carry residence visas. Where people want to operate a business, an offshore company is usually the wrong instrument.

Holding is not trading

This is the whole page in one line. An offshore company can own shares in an operating business, hold intellectual property, and act as a parent in a group. What it cannot do is invoice customers in the UAE, take an office, or employ people here.

People arrive wanting a cheap way to run a business. That is a free zone or mainland licence, not this.

  • Owns shares, IP and in some cases property
  • Cannot trade in the UAE market
  • No premises and no staff
  • A different instrument from a trading licence

Why people actually use one

To sit above an operating company so that ownership is held in one place. To hold an asset separately from the business that uses it. To make a future sale or a change of shareholder simpler than restructuring an operating entity.

Those are structural reasons, and they are worth taking advice on before spending anything.

  • A parent above one or more operating companies
  • Separating an asset from the trading business
  • Simplifying a future sale or share transfer
  • Consolidating ownership across several entities

JAFZA and RAK ICC are not interchangeable

The two jurisdictions differ in what they permit, particularly around holding property, and in how they are regarded by banks and counterparties.

Choose on what the structure has to do rather than on formation cost, which is the smallest number in this decision.

  • What each permits a company to hold differs
  • Bank and counterparty attitudes differ too
  • Formation cost is the least important variable
  • Decide on purpose, then jurisdiction

What we will not advise on

Tax. Corporate tax and any cross-border position depend on your specific circumstances and belong with a qualified adviser, not with a document clearing company.

We will form the structure correctly and file it properly. What it means for your tax position is a conversation to have elsewhere, and anyone in our line of work telling you otherwise should worry you.

  • Formation and filing: us
  • Tax and cross-border treatment: your adviser
  • Get the advice before forming, not after
  • Be wary of tax promises from formation agents

How we form a holding company

  1. Establish the purposeWhat the structure actually has to do.
  2. Sanity-check the instrumentSometimes it should not be offshore at all.
  3. Choose the jurisdictionOn purpose, not on price.
  4. Prepare the documentsShareholders, directors, registered agent.
  5. IncorporateAnd obtain the corporate documents.
  6. Hand overCertificates and the register, with what to keep.

Is offshore the right instrument?

Objective and structure
What you want to doRight instrument
Hold shares in an operating companyOffshore holding company
Hold an asset separately from the businessOffshore holding company
Invoice customers in the UAEMainland or free zone licence
Get a residence visaNot this; a licence that carries visas
Take an office and hire staffMainland or free zone licence
Reduce your tax billSpeak to a tax adviser first
The mistake we see most: Forming an offshore company expecting it to come with a residence visa. It does not carry visas, and the person has usually spent the money before anyone told them, on the strength of an advert that carefully did not mention it.
MSM tip: Decide what the structure has to do in one written sentence before you compare jurisdictions. Almost every expensive mistake in this area comes from choosing the vehicle first and working out the purpose afterwards.

What documents do you need?

What we need

What the company is intended to hold
Details of any existing UAE or overseas companies involved
Passport copies for shareholders and directors
Proof of address for each
Whether property is intended to be held
Whether you have taken tax advice already

Tell us the purpose in plain words before anything else. It quite often turns out that an offshore company is not what you need, and that is a cheaper conversation to have now.

QUESTIONS & ANSWERS

Frequently Asked Questions

Can I trade through a UAE offshore company?
No. It is a holding vehicle. Invoicing customers in the UAE, taking an office or employing people all need a mainland or free zone licence.
Does an offshore company come with a residence visa?
No, and this is the most expensive misunderstanding in the area. Visas come from licences that carry them, not from offshore incorporation.
What can it actually hold?
Shares in other companies, intellectual property, and in some cases property, depending on the jurisdiction you choose.
JAFZA or RAK ICC?
They differ in what they permit and in how banks and counterparties regard them. Choose on what the structure has to do rather than on formation cost.
Will it reduce my tax?
That is a question for a qualified tax adviser and depends entirely on your circumstances. We form and file structures; we do not give tax advice, and you should be wary of formation agents who do.
Do I need an office for it?
No. It has a registered address through its agent rather than premises, which is part of what makes it a holding vehicle rather than an operating one.
