IFZA Company Setup in Dubai

IFZA is the free zone most consultants get pointed to first, and for a lot of small service companies that is the right answer. It stops being the right answer the moment you need a physical presence.

What is IFZA and who is it right for?

IFZA is a Dubai free zone authority that licenses companies across a broad list of professional, commercial and service activities. It suits consultants, agencies and trading companies that do not need their own premises. Businesses requiring warehousing, a shopfront or a mainland client base are usually better served elsewhere.

What can an IFZA licence actually cover?

A broad spread of professional and commercial activities — consultancy, marketing, IT services, general trading and a long list of specific trade categories. The activity you choose is not cosmetic. It defines what you may invoice for, and changing it later is an amendment rather than an edit.

Pick the activity that matches what the business will really do in year one, not the most impressive-sounding option on the list.

  • Professional and consultancy activities
  • Commercial and general trading categories
  • Service activities across media, IT and marketing
  • Multiple activities on one licence, where they are compatible

How does the visa allocation work?

Free zone visa quotas are tied to the package and the facility. A flexi arrangement supports a small number of visas; taking a physical office increases what you can apply for. The quota is a ceiling, not a grant — each visa is still applied for individually.

Companies routinely underestimate this and then find themselves amending the licence six months in because a third hire will not fit.

  • Quota is set by the package and facility taken
  • Each visa is applied for separately within that ceiling
  • Upgrading the facility is how you raise the ceiling
  • Plan on your 12-month hiring intention, not today's headcount

What does the setup sequence look like?

Name reservation and activity approval first, then the licence itself, then the establishment card, and only then can visas be processed. Each stage depends on the one before it.

The corporate documents — shareholder passports, proof of address, and for corporate shareholders the attested parent-company papers — are where timelines slip, because attestation happens in another country.

  • Trade name reservation and activity approval
  • Licence issuance by the free zone authority
  • Establishment card, which enables visa processing
  • Visa applications, medical and Emirates ID for each person

When is IFZA the wrong choice?

When the business needs to sell directly to UAE mainland customers as a matter of course, when it needs a retail presence, or when it needs significant warehousing. Free zone companies serve mainland clients through structures rather than directly, and that adds friction to some models and kills others.

We will tell you when a mainland licence is the better answer, even though it is not the thing we were asked about.

  • Direct mainland retail or walk-in trade
  • Large warehousing or industrial requirements
  • Government contracting that requires a mainland entity
  • Businesses whose clients are overwhelmingly mainland companies

How we set up an IFZA company

  1. We test the fit firstWhat the business does, who its customers are, and whether a free zone is genuinely right. Sometimes the answer is mainland.
  2. Activity and nameThe activity is matched to real revenue, and the trade name checked against the naming rules before submission.
  3. Document preparationShareholder documents assembled, with attestation flagged early where corporate shareholders are involved.
  4. Licence applicationFiled with IFZA, with the package sized to your visa plan rather than the cheapest tier.
  5. Establishment cardIssued after the licence, and required before any visa can move.
  6. Visas and bankingVisa processing for each person, and introductions for the corporate account.

Is a free zone or mainland licence right for you?

Structure by business model
Your modelFree zoneMainland
Consultancy serving overseas clientsStrong fitUnnecessary
Agency serving mainland corporatesWorkableOften simpler
E-commerce shipping internationallyStrong fitNot needed
Retail shop with walk-in customersNot suitableRequired
Government or semi-government contractingUsually notRequired
The mistake we see most: Buying the smallest package because the first year looks quiet, then hiring a third person in month seven. Raising the visa ceiling means upgrading the facility and amending the licence, which costs more in total than taking the right package at the start. Size it on where you expect to be in twelve months.
MSM tip: Write down the exact wording of what you will invoice clients for, then choose the activity to match that sentence. Most activity disputes come from a licence that describes something adjacent to the actual work.

What documents do you need?

What we need to start

Passport copies for every shareholder and director
Proof of residential address for each shareholder
Passport-style photograph for each person
Three trade name options, in order of preference
A plain description of what the business will do
Attested parent-company documents, where a company is a shareholder

The item that most often causes a delay is corporate shareholder documentation, because it usually has to be attested in the country where that company is registered. Start it before anything else if it applies to you.

QUESTIONS & ANSWERS

Frequently Asked Questions

Do I need a physical office for an IFZA licence?
Not for most packages. Flexi arrangements are common and suit consultants and service businesses. A physical office becomes relevant when you need a larger visa allocation or genuinely need premises.
Can an IFZA company sell to mainland UAE customers?
Not directly as a matter of course. Free zone companies typically serve the mainland through a distributor or agent, or by taking an additional arrangement. If most of your customers are mainland, discuss the structure first.
How many visas can I get?
It depends on the package and facility. The allocation is a ceiling within which each visa is applied for individually, so plan it against your hiring intention rather than your current headcount.
Do I need a local partner?
No. Free zone companies are owned entirely by their shareholders.
What does it cost?
Packages differ by activity, facility and visa count, and the authority changes them. We quote against your actual requirement rather than an advertised headline figure.
How long does setup take?
The licence itself is usually quick once documents are complete. What extends the timeline is attestation of overseas corporate documents and, afterwards, bank account opening.
