LLC Company Formation in Dubai

The LLC is what you form when you need to sell into the UAE market itself rather than around it. That access is the whole point, and it comes with real premises.

What is an LLC in Dubai?

A limited liability company is the standard mainland structure, licensed by Dubai DET. It can trade directly with customers anywhere in the UAE, take on government contracts and open branches, and shareholder liability is limited to the capital contributed. It requires real premises and a tenancy registered through Ejari.

When is an LLC the right structure?

When your customers are in the UAE and you need to invoice them directly. Retail, restaurants, contracting, most services sold to local businesses, and anything involving government or semi-government contracts.

If your customers are overseas or in free zones, you are probably paying for market access you will not use.

  • Retail, hospitality and contracting
  • Government and semi-government contracts
  • Physical presence serving local clients

What does the premises requirement really mean?

A real, leased space with a tenancy registered through Ejari, and the space has to suit the activity. It is the largest fixed cost in a mainland setup, and it is what free zone flexi arrangements avoid.

Visa quota is tied to it, so the space decision and the hiring plan should be made together rather than sequentially.

  • Leased premises with registered Ejari
  • Space appropriate to the licensed activity
  • The largest fixed cost in mainland setup
  • Visa quota linked to the space taken

What about ownership rules?

Foreign ownership of mainland companies has been substantially liberalised, and full foreign ownership is available for a wide range of activities. Some strategic activities retain restrictions.

The position depends on the specific activity, so it is checked at the point of choosing the activity rather than assumed either way.

  • Full foreign ownership available for many activities
  • Some strategic sectors retain restrictions
  • The position depends on the specific activity
  • Confirmed when the activity is selected

What does setup involve?

Trade name reservation, initial approval, the memorandum, tenancy and Ejari, then licence issuance, establishment card and visas. Each stage gates the next, and the tenancy is usually the item that determines the overall timeline.

Signing a lease before the activity is approved is the classic sequencing error.

  • Trade name and initial approval
  • Memorandum drafted and notarised
  • Tenancy secured and Ejari registered
  • Licence, establishment card, then visas

The mistake we see most: Signing a tenancy before the activity has initial approval. If the activity is refused or needs different premises, you are holding a lease for a business you cannot licence there. Get the approval first, then sign.
MSM tip: Size the premises against your twelve-month hiring plan, not today headcount. Visa quota is tied to space, and moving to a larger office in year one costs far more than taking slightly more space at the start.

What documents do you need?

What we need

Passport copies for all shareholders
Emirates ID and visa copies, where resident
Three trade name options
A description of the business activity
Your expected headcount over twelve months
Attested corporate documents, for a company shareholder

The decision with the biggest cost consequence is premises. Bring a realistic hiring plan, because the space you take determines the visas you can issue.

QUESTIONS & ANSWERS

Frequently Asked Questions

What is the difference between an LLC and a free zone company?
An LLC can trade directly with customers anywhere in the UAE. A free zone company generally reaches the mainland through a distributor or agent.
Can I own an LLC entirely as a foreigner?
Foreign ownership has been substantially liberalised and full ownership is available for many activities. Some strategic sectors retain restrictions, so it depends on your activity.
Do I need a physical office?
Yes. A mainland LLC needs leased premises with a registered Ejari, and the space must suit the licensed activity.
How many visas can I get?
Quota is linked to the premises. Plan the space against your hiring intention rather than your current headcount.
How long does it take?
The tenancy is usually what sets the timeline. Approvals and licensing move reasonably quickly once premises are secured.
Can I convert a free zone company to an LLC?
It is generally a new formation rather than a conversion. Talk to us before assuming either way.
