How do you close a free zone company in Dubai?

Employee and shareholder visas are cancelled first, then the establishment card, then the free zone authority liquidation process is followed. Tax deregistration runs alongside. The authority issues a deregistration or closure confirmation once obligations are settled, and that document is what actually ends the company.

Why does abandoning it not work?

Because the licence keeps existing, and so do its obligations. Renewal fees and penalties accrue, and the shareholders are the people attached to them. It surfaces when someone tries to set up a new company or renew a visa.

What order does it have to happen in?

People first, then the company. Every residence visa sponsored through the company has to be cancelled, including the shareholders own, and the establishment card closed after them.

Only then will the free zone authority process the licence closure, because it will not close a licence with live visas hanging off it.

What runs alongside?

Tax deregistration, for corporate tax and for VAT where registered. Those are Federal Tax Authority processes with their own deadlines, and the corporate tax deadline runs from cessation of business rather than from licence closure.

What about premises and bank accounts?

The lease has to be ended or transferred and any dues settled, because the free zone will check. The bank account should be closed after all obligations are paid, not before, or you will find yourself needing to make a payment from an account you shut.
